01 Introduction

GADINBA (referred to as "Gadinba Live", "we", "us", or "our") is a digital entertainment and streaming platform that provides access to live television channels, sports, movies, television shows, original content, short-form videos, news, and other related digital entertainment services (collectively, the "Services").

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "user", or "viewer") and GADINBA K SMC ("Gadinba Live", "we", "us", or "our") governing your access to and use of the Services.

These Terms apply to all visitors, users, subscribers, and any other individual who accesses or uses the Services. By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.

02 Eligibility

To use the Services, you must be of the minimum legal age required to enter into a binding agreement under the laws applicable in your jurisdiction, or you must have the permission of a parent or legal guardian.

• You must provide accurate and truthful information when creating an account.
• You must not be barred from using the Services under the laws of your jurisdiction.
• You must be legally capable of entering into a binding agreement.

Where a minor is permitted to use the Services, the parent or legal guardian is responsible for the minor's activity, including any applicable charges.

03 Account Registration

Certain features of the Services may require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Keep your account credentials secure and confidential;
• Not share your account with any other person where such sharing is prohibited by your plan;
• Promptly notify us of any unauthorized use of your account;
• Accept responsibility for all activity that occurs under your account.

We may suspend, restrict, or terminate accounts that we reasonably believe have been created using false information, are being used for fraudulent or abusive purposes, or otherwise violate these Terms.

04 Gadinba Services

The Services may include, without limitation:

• Live television channels (local and international);
• Live sports and sporting events;
• Movies and television shows;
• Gadinba Originals and other original content;
• Short-form videos, reels, and featured content;
• News, entertainment, and other categories of programming.

Content availability may change over time. Some content may be geographically restricted, available only for limited periods, or subject to rights held by third parties. Programming schedules, channel line-ups, and catalogue offerings may change without notice.

We do not guarantee that any particular title, channel, event, or program will remain available on the Services at any given time or in any particular region.

05 Subscriptions & Paid Content

Some parts of the Services are available for free, while other parts may require payment through a subscription, temporary access pass, pay-per-view, or another form of authorized access.

Where you purchase access to any part of the Services, the applicable price, currency, billing cycle, and included features will be presented to you before or during purchase.

• Prices are shown in the currency indicated at the point of purchase.
• Applicable taxes and other charges may be added where required by law.
• Access to paid content begins when payment is successfully processed and confirmed.
• When your subscription or pass expires, access to the applicable content ends unless renewed or extended.
• Purchasing access does not transfer ownership of any content, title, or intellectual property.

06 Free Trials

Gadinba Live may, from time to time, offer free trials or promotional access to certain parts of the Services.

• Free trials are available only to eligible users, as determined by the applicable offer.
• Trial duration, included features, and eligibility conditions may vary and will be disclosed at the time of the offer.
• Unless otherwise stated, free trials are limited to one per user, account, household, or payment method.
• We may modify, suspend, or withdraw any trial offer at any time.
• Attempts to abuse trial offers (for example, by creating multiple accounts) may result in cancellation of the trial and restriction of access.

When a free trial ends, access to the applicable paid features will cease unless you choose to subscribe or purchase continued access. Where automatic renewal is enabled for a particular plan, the applicable renewal terms will be presented to you before or during purchase.

07 Payments

Payments for subscriptions, passes, or other paid features must be made using the payment methods supported by Gadinba Live at the time of purchase.

• By submitting a payment, you authorize us and our payment providers to charge the applicable amount.
• Payment information may be collected and processed by third-party payment providers, whose own terms and privacy policies may apply.
• We do not store full payment card details unless this is explicitly stated at the time of purchase.
• You are responsible for ensuring that your payment information is accurate and up to date.
• Failed, declined, or reversed payments may result in suspension or termination of access to paid content.
• Fraudulent transactions, chargeback abuse, or any other misuse of the payment system may result in account restriction and possible legal action.

A transaction confirmation will ordinarily be provided after a successful payment, and may be made available through the platform or by email.

08 Cancellation & Refunds

You may cancel an eligible subscription at any time through your account settings or by contacting our support team. Cancellation stops future renewals but does not automatically refund amounts already paid, except where required by applicable law.

• Access continues until the end of the current paid period, unless otherwise stated.
• Amounts paid for past access periods are generally non-refundable, except where required by law or where a refund is offered at our discretion.
• Duplicate charges and clear billing errors will be reviewed and, where confirmed, refunded or credited.
• Refund requests should be submitted to our support team using the contact details in Section 24.

09 Content Licensing & Availability

Content made available through the Services is licensed to us by third parties under agreements that may restrict the territories, periods, platforms, and audiences for which the content can be provided.

As a result, content may be added, removed, replaced, or made unavailable at any time, without prior notice, including content you have previously accessed. Purchasing access to the Services does not grant you ownership of, or any permanent right to, any particular title, channel, or event.

Where content is geo-restricted, availability may depend on your location at the time of access, and access may be limited or blocked in certain regions.

10 Intellectual Property

All intellectual property rights in and to the Services — including but not limited to our branding, logos, user interface, software, graphics, editorial content, and original programming — are owned by us or our licensors and are protected by applicable laws.

You do not acquire any ownership rights by using the Services or by accessing any content. You may not copy, reproduce, redistribute, sell, sublicense, publicly perform, publicly display, or otherwise commercially exploit any part of the Services or its content without our prior written authorization, except as expressly permitted by law.

11 Prohibited Use

You agree not to engage in any of the following, and not to assist others in doing so:

• Sharing your account where such sharing is prohibited by your plan or these Terms;
• Circumventing, disabling, or interfering with subscription restrictions, access controls, or technical protections;
• Bypassing, removing, or altering any digital rights management (DRM) or similar protections;
• Downloading, copying, recording, or capturing protected content without authorization;
• Screen scraping, data mining, automated extraction, or the use of bots or scripts to access the Services;
• Reverse engineering, decompiling, or attempting to derive source code from any part of the platform;
• Attempting to hack, probe, or otherwise compromise the security or integrity of the platform;
• Stealing, harvesting, or misusing another person's credentials or personal information;
• Fraud, payment abuse, or the submission of false information;
• Uploading, transmitting, or distributing malware or other harmful code;
• Interfering with servers, networks, or infrastructure used to provide the Services;
• Distributing, rebroadcasting, or making content available to others without our prior written authorization;
• Using the Services for any unlawful purpose or in violation of any applicable regulation.

12 User-Generated Content

Where Gadinba Live enables user-generated content (including comments, reviews, profiles, reels, and similar features), you remain solely responsible for any content you submit or make available through the Services.

You agree that your content will not:

• Be unlawful, defamatory, obscene, or misleading;
• Constitute harassment, bullying, or threats of violence;
• Contain hate speech or content that promotes discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic;
• Infringe the copyright, trademark, or other rights of any third party;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Contain spam, unauthorized advertising, or unsolicited promotional material;
• Contain sexual content involving minors, or any other form of sexual exploitation;
• Include malware, viruses, or any other harmful code;
• Be fraudulent or deceptive, or otherwise designed to mislead others.

We reserve the right (but do not assume an obligation) to review, remove, or refuse to publish any content, and to restrict or terminate the accounts of users who repeatedly violate these standards.

13 Live Chat & Community Features

Where the Services include chat or other community features, you agree to engage respectfully with other users. In particular, you agree not to:

• Harass, intimidate, or abuse other users;
• Post spam, scams, or unauthorized commercial messages;
• Impersonate moderators, staff, or other users;
• Share illegal content or links to illegal content;
• Promote or coordinate unauthorized streams or redistribution of content;
• Interfere with the normal operation of community features.

We may moderate, filter, or remove any content at our discretion, and we may restrict access to community features for users who violate these Terms.

14 Third-Party Services

The Services may rely on or integrate with third-party providers for functions such as payments, authentication, hosting, analytics, advertising, streaming delivery, and customer support.

These third-party services may be governed by their own terms and privacy policies, and we encourage you to review them. We are not responsible for the independent practices of these third parties.

15 Service Availability

We aim to provide reliable access to the Services, but we do not guarantee uninterrupted or error-free availability. Availability may be affected by, among other things:

• Scheduled or emergency maintenance;
• Technical failures or outages;
• Internet connectivity issues on your end or in your region;
• Device compatibility or performance limitations;
• Failures of third-party infrastructure providers;
• Network congestion or bandwidth constraints;
• Events outside our reasonable control (force majeure).

We may suspend or discontinue any part of the Services at any time and will, where reasonably practicable, provide notice of material disruptions.

16 Device & Internet Requirements

To use the Services you need a compatible device and a stable internet connection. Streaming quality may vary depending on your connection speed, device capabilities, and network conditions.

Data charges from your mobile or internet service provider may apply when you stream content, and you are solely responsible for such charges. We are not responsible for any fees charged by your network provider.

17 Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

18 Suspension & Termination

We may suspend, restrict, or terminate your access to the Services — in whole or in part — without prior notice, where we reasonably believe that you have:

• Violated these Terms;
• Engaged in fraudulent, abusive, or illegal activity;
• Attempted to circumvent access controls or DRM;
• Used the Services to redistribute or rebroadcast content without authorization;
• Abused the payment system or initiated fraudulent chargebacks;
• Repeatedly infringed the rights of third parties.

Upon termination, your right to access the Services ends immediately. Where you have an active paid subscription and terminate for reasons other than a violation of these Terms, this does not automatically entitle you to a refund, except where required by applicable law or expressly stated at the time of purchase.

19 Disclaimers

The Services are provided on an "as available" basis. To the maximum extent permitted by applicable law, we make no warranties, express or implied, regarding:

• The continuous availability or uninterrupted operation of the Services;
• The accuracy, completeness, or reliability of any content;
• The performance or reliability of third-party services;
• The suitability of the Services for any particular purpose;
• The compatibility of the Services with any specific device or network.

Nothing in these Terms is intended to exclude or limit any warranty or right that cannot lawfully be excluded or limited.

20 Limitation of Liability

To the maximum extent permitted by applicable law, Gadinba Live and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Services.

Where liability cannot be excluded, our total aggregate liability for any claim arising out of or relating to the Services will be limited to the greater of (a) the amount you paid for the relevant Service in the twelve (12) months preceding the event giving rise to the claim, or (b) [AMOUNT TO BE CONFIRMED], whichever is required by applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

21 Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Gadinba Live, its affiliates, officers, employees, and licensors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

• Your misuse of the Services;
• Your violation of these Terms;
• Your infringement of any third-party rights; or
• Your unlawful activity in connection with the Services.

22 Changes to These Terms

We may update these Terms from time to time to reflect changes in the Services, applicable law, or our business practices. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes, we will take reasonable steps to bring the changes to your attention — for example, through a notice on the platform or by email — where required by applicable law. Your continued use of the Services after the effective date of any updated Terms constitutes acceptance of those changes, to the extent permitted by law.

23 Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of The Constitution Of the Republic of Uganda, without regard to conflict-of-law rules.

Nothing in this section affects any mandatory consumer protection rights you may have under the laws of your country of residence.
